  15.     I don't know whether this is good or bad news but this IS News!!!  Look

  20. VIScorp USA and Escom AG Announce Letter of Understanding for
  21. Acquisition of Amiga Technologies by VIScorp
  22.  
  23. Heppenheim, Germany and Chicago, IL, April 12, 1996 -- ESCOM AG, a
  24. German computer manufacturer
  25. and reseller and Visual Information Services Corp. (Nasdaq: VICP,
  26. Bulletin Board), a developer of
  27. interactive TV (ITV) set-top-boxes to enhance television use and viewing
  28. by providing Internet access
  29. and electronic communications function, today jointly announced that a
  30. binding letter of understanding
  31. has been signed between the companies.

  33. The letter states that Chicago-based VIScorp would acquire Amiga
  34. Technologies, including the
  35. intellectual properties of the former Commodore Business Machines,
  36. excepted Commodore trademarks.
  37. The transaction value is approximately US $40 million. Terms were not
  38. disclosed, and the pending
  39. acquisition would be subject to approval by both companies' boards of
  40. directors.

  42. "This intended acquisition is part of VIScorp's strategy to build market
  43. leadership in the fast-growing
  44. field of ITV", said William Buck, Chief Executive Officer. "As a result,
  45. we would own Amiga intellectual
  46. properties, including several that are currently used in our set
  47. top-box, Electronic Device (ED(). We
  48. would also have control over the supplied chip sets used in ED as well
  49. as Amiga inventories and access
  50. to the company's current sales and distribution channels."

  52. Commenting the proposed acquisition, Helmut Jost, chief executive of
  53. ESCOM AG, said: "VIScorp has a
  54. clear vision of the Amiga technology potential for ITV applications. We
  55. are eager to support and work
  56. together over the term of the letter of understanding to ensure a smooth
  57. transition between the two
  58. companies. VIScorp anticipates the support of ongoing European sales of
  59. popular models such as the
  60. A4000T and the A1200 as well as the current developments and future
  61. releases of Amiga Technologies."

  63. Petro Tyschtschenko, president of Amiga Technologies stated "I am
  64. looking forward to being able to
  65. take advantage of the research and development support potential that an
  66. Amiga-related company like
  67. VIScorp can provide."

  69. Commenting that the primary objective of the proposed acquisition is to
  70. give VIScorp full access to the
  71. Amiga technology to support development of its ITV device, Mr. Buck
  72. noted: "Our intention is to rapidly
  73. develop and begin manufacturing TV set-top interactive boxes -- products
  74. that give home users
  75. capabilities such as telephone reception and dial up capabilities,
  76. facsimile, video games, pay-per-view
  77. options, electronic mail, and access to on-line services, including the
  78. Internet."

  85.     I hope that this doesn't mean that all of the concentration will be on
  86. the new set-boxes (as their main goal is for their ITV
  87. devices).....Hopefully, that would mean the Power PC developments won't
  88. be hindered....Wow, would that mean that ESCOM won't be there at WOA in
  89. London????
  90.     Hopefully, we can get a clearer statement from Viscorp Tech as
  91. well...Anybody know anythin about em?  Notice how they acquired
  92. everything but the Commodore Trademarks( Something ESCOM seemed to only
  93. be interested in the beginning...)  Views anybody, especially people at
  94. AT now...
